User Agreement
1. Introduction and Acceptance
This User Agreement (“Agreement”) is entered into between you (“User”) and WHXEX Limited (“WHXEX” or “We”). By accessing or using WHXEX platform services, you are deemed to have read, understood, and agreed to be bound by this Agreement. If you do not agree, please discontinue use of the platform immediately.
2. User Eligibility and Account Registration
You must be at least 18 years old and have full legal capacity. Creating an account signifies that you confirm the information provided is accurate and that you are not subject to any legal restrictions or sanctions.
3. Scope of Platform Services
WHXEX provides digital asset‑related services, including spot trading, perpetual contracts, options, staking, fiat on‑ramp/off‑ramp, and other blockchain financial products. All services are subject to applicable laws and regulatory requirements in the jurisdictions where WHXEX operates.
4. Risk Disclosure
Digital asset trading involves high risks and may lead to total loss of capital. Prices are highly volatile and unpredictable. By using WHXEX, you acknowledge that you fully understand and voluntarily assume trading risks. WHXEX is not liable for market losses or system failures.
5. Fees and Taxes
You agree to pay all fees associated with using WHXEX, with specific rates as set out in the “Fee & Limit Schedule.” You are solely responsible for any tax obligations arising from your transactions.
6. User Obligations
Users must safeguard account credentials and passwords and must not share them with others. You undertake not to use WHXEX for illegal, fraudulent, or manipulative purposes, including money laundering, market manipulation, or sanctions evasion.
7. Prohibited Activities
You shall not: (a) engage in unlawful activities; (b) conduct wash trading, matched orders, or price manipulation; (c) interfere with system or API operations; (d) impersonate others; (e) use automated scripts to disrupt the platform.
8. Account Suspension and Termination
WHXEX reserves the right to suspend, freeze, or terminate accounts without prior notice in the following circumstances: (a) legal or regulatory requirements; (b) detection of suspicious activity; (c) user breach of this Agreement. Users may request account closure after settling all obligations.
9. Limitation of Liability
WHXEX and its affiliates shall not be liable for any indirect, incidental, or consequential losses, including loss of profits or data. In no event shall WHXEX’s total liability exceed the total fees paid by the user in the preceding 12 months.
10. Indemnification
You agree to indemnify and hold harmless WHXEX, its officers, and employees from any claims, losses, or expenses arising from your use of WHXEX services or your breach of this Agreement.
11. Governing Law and Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of the British Virgin Islands. Any dispute shall be submitted to confidential arbitration at the British Virgin Islands International Arbitration Centre (BVI IAC) in Tortola.
12. Miscellaneous
If any provision of this Agreement is deemed invalid, the remaining provisions shall continue in effect. WHXEX may amend this Agreement at any time; updates will be posted on whxex.com and take effect immediately.
